Terms of Service

Please read these Terms carefully before installing or using WaAutoflow WhatsApp Automation.

Important Notice

By installing WaAutoflow from the Shopify App Store, you agree to these Terms of Service. Please read them carefully. If you do not agree, do not install or use the App.

1. Acceptance of Terms

By installing, accessing, or using WaAutoflow WhatsApp Automation ("WaAutoflow", "the App", "the Service"), you ("Merchant", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App. These Terms form a legally binding agreement between you and WaAutoflow (operated by NCS Global, Ahmedabad, India). By clicking "Install" on the Shopify App Store or by using the Service in any way, you confirm that you have read, understood, and agree to these Terms.

2. Description of Service

WaAutoflow is a Shopify application that enables merchants to automate WhatsApp communications with their customers. The Service includes, but is not limited to:

  • Order confirmation and cancellation messages via WhatsApp
  • Abandoned checkout recovery automation
  • Order fulfillment and shipping notifications
  • WhatsApp broadcast messaging to customer segments
  • Auto-reply functionality for customer inquiries
  • Back-in-stock alerts via WhatsApp
  • Analytics and reporting dashboard
  • WhatsApp Buttons & Widgets for your storefront
  • Integration with Shopify Flow automations
  • Integration with Judge.me Reviews for review requests

WaAutoflow reserves the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3. Eligibility & Account Requirements

To use WaAutoflow, you must:

  • Be at least 18 years of age
  • Have a valid and active Shopify store
  • Have the legal authority to enter into these Terms on behalf of your business
  • Comply with Shopify's Terms of Service and Partner Program Policies
  • Have a valid WhatsApp account for connecting to the Service
  • Comply with all applicable local, national, and international laws and regulations
  • Not be located in a country subject to applicable trade embargoes or sanctions

4. Shopify Platform Compliance

WaAutoflow is distributed through the Shopify App Store and is subject to Shopify's Partner Program Policies. By using this App:

  • You acknowledge that Shopify may remove or restrict the App at any time in accordance with their policies
  • You agree that WaAutoflow may access your Shopify store data through Shopify-approved APIs only as necessary to provide the Service
  • You understand that billing for paid plans is processed through Shopify's billing system
  • You agree to comply with Shopify's Acceptable Use Policy in connection with your use of the App
  • You acknowledge that Shopify is not a party to these Terms and is not responsible for the App or its content
  • You consent to WaAutoflow responding to Shopify's mandatory GDPR webhooks (customers/redact, shop/redact, customers/data_request) on your behalf

5. WhatsApp Usage Terms

WaAutoflow uses WhatsApp's linked-device functionality to send automated messages on your behalf. By using this feature, you agree to:

  • Comply with WhatsApp's Terms of Service and Acceptable Use Policy at all times
  • Comply with Meta's Platform Terms and Community Standards
  • Obtain valid, documented consent from customers before sending WhatsApp messages
  • Only send messages that are relevant, expected, and non-spammy
  • Honour all customer opt-out and unsubscribe requests immediately
  • Not use the Service to send bulk unsolicited messages (spam)
  • Not use the Service to send illegal, abusive, misleading, or harmful content
  • Not use the Service to impersonate any person or entity
  • Not automate messages in a way that violates WhatsApp's rate limits or policies
  • Accept sole responsibility for the content of all messages sent through your connected WhatsApp account

WhatsApp may suspend or terminate accounts that violate their policies. WaAutoflow is not liable for any account suspension resulting from your messaging practices.

6. Subscription Plans & Payment

Available Plans

WaAutoflow offers the following subscription tiers:

  • Free Plan: Limited features with basic automation capabilities at no cost
  • Paid Plans: Full feature access with advanced automation, analytics, and priority support - billed at the rate shown on the Shopify App Store listing

Billing

  • All billing is handled exclusively through Shopify's billing system
  • Charges are billed on a recurring monthly basis unless cancelled
  • Prices are displayed in USD and are inclusive of applicable taxes where shown
  • WaAutoflow reserves the right to change pricing with 30 days' advance notice
  • Continued use of the Service after a price change constitutes acceptance of the new pricing

Refunds & Cancellation

  • You may cancel your subscription at any time by uninstalling the App from your Shopify store
  • Cancellation takes effect at the end of the current billing period
  • We do not offer prorated refunds for partial billing periods, except where required by law
  • Refund requests may be submitted to hello.waflows@gmail.com and will be reviewed case-by-case
  • Shopify's standard refund policies apply to charges processed through their billing system

7. Acceptable Use Policy

You agree NOT to use WaAutoflow to:

  • Send spam, unsolicited messages, or communications to individuals who have not consented
  • Violate any applicable law, regulation, or third-party right
  • Send content that is illegal, abusive, defamatory, obscene, or otherwise objectionable
  • Engage in phishing, fraud, or deceptive practices
  • Harass, threaten, or intimidate any person
  • Infringe on intellectual property rights of any third party
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorised access to the Service, other accounts, or related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service in any manner that could disable, overburden, or impair it
  • Resell or sublicense the Service to third parties without written permission
  • Use automated scripts or bots to interact with the Service beyond intended use

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

8. Merchant Data & Customer Data

By using WaAutoflow, you acknowledge and agree that:

  • You are the data controller for all customer data processed through the Service
  • WaAutoflow acts as a data processor on your behalf
  • You are responsible for having a lawful basis for processing customer data
  • You must maintain your own Privacy Policy that discloses the use of WhatsApp automation
  • You are responsible for obtaining necessary customer consent for WhatsApp communications
  • You must promptly honour any customer data access, correction, or deletion requests
  • You agree to WaAutoflow's Privacy Policy which governs how we handle your data
  • You will not upload or process sensitive personal data (health, financial, biometric) through the Service beyond what is inherent in order data

9. Intellectual Property

Our Intellectual Property

WaAutoflow and its licensors own all intellectual property rights in the Service, including but not limited to software, designs, logos, documentation, and all related materials. These Terms do not grant you any rights to our intellectual property except for the limited licence to use the Service as described herein.

Your Content

You retain ownership of all content you create or configure within the Service (message templates, automation settings, etc.). You grant WaAutoflow a limited, non-exclusive licence to use this content solely for the purpose of providing the Service to you.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant WaAutoflow a perpetual, irrevocable, royalty-free licence to use such feedback without restriction or compensation to you.

10. Service Availability & Maintenance

WaAutoflow aims to provide a reliable service but cannot guarantee uninterrupted availability.

  • We target 99% uptime but do not guarantee any specific level of availability
  • Scheduled maintenance will be performed during low-traffic periods where possible
  • We will provide advance notice of planned downtime where reasonably practicable
  • Service availability may be affected by factors outside our control, including Shopify, WhatsApp, and third-party infrastructure
  • WaAutoflow is not liable for any losses resulting from service downtime or interruption

11. Third-Party Services & Integrations

WaAutoflow integrates with third-party services including Shopify, WhatsApp/Meta, Judge.me, and others. You acknowledge that:

  • Third-party services are governed by their own terms and privacy policies
  • WaAutoflow is not responsible for the actions, content, or policies of third-party services
  • Changes to third-party APIs or policies may affect App functionality
  • WaAutoflow is not affiliated with or endorsed by WhatsApp, Meta, or Shopify beyond the Shopify Partner Programme
  • You must comply with the terms of all third-party services you use in connection with WaAutoflow

12. Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability or fitness for a particular purpose
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of results obtained through the Service
  • Warranties that defects will be corrected

Some jurisdictions do not allow the exclusion of implied warranties. In such cases, our liability is limited to the maximum extent permitted by applicable law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAAUTOFLOW AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Cost of substitute services
  • Any damages arising from your use or inability to use the Service
  • Any WhatsApp account suspension or ban resulting from your messaging practices
  • Any damages arising from unauthorised access to or alteration of your data
  • Any damages resulting from third-party service failures (Shopify, WhatsApp, etc.)

In no event shall WaAutoflow's total aggregate liability exceed the amount you paid for the Service in the three (3) months immediately preceding the event giving rise to the claim, or INR 5,000 (whichever is greater).

14. Indemnification

You agree to defend, indemnify, and hold harmless WaAutoflow, NCS Global, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of WhatsApp's or Shopify's terms and policies
  • Any content you transmit through the Service
  • Your infringement of any third-party intellectual property or privacy rights
  • Any claims made by your customers arising from messages sent through the Service

15. Termination

Termination by You

You may terminate these Terms at any time by uninstalling the App from your Shopify store. Termination does not entitle you to a refund of any prepaid fees.

Termination by WaAutoflow

WaAutoflow may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach any provision of these Terms
  • You violate WhatsApp's or Shopify's terms and policies
  • You engage in fraudulent, abusive, or illegal activities
  • Continued provision of the Service creates legal or compliance risks
  • You fail to pay applicable subscription fees

Effect of Termination

Upon termination:

  • Your access to the Service will be immediately revoked
  • All automation workflows will stop sending messages
  • WhatsApp session tokens will be invalidated
  • Data will be retained and deleted per our Privacy Policy
  • Provisions of these Terms that by their nature should survive termination shall remain in effect

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

Merchants located in the European Union may have additional rights under applicable EU consumer protection laws. Nothing in these Terms limits rights you may have under mandatory consumer protection legislation in your jurisdiction.

17. Dispute Resolution

Before initiating any formal legal proceeding, you agree to attempt to resolve disputes informally by contacting us at hello.waflows@gmail.com. We will attempt to resolve disputes within 30 days of receiving written notice.

  • Informal resolution: Contact us first - most issues can be resolved quickly
  • Mediation: If informal resolution fails, either party may request non-binding mediation
  • Arbitration: Disputes not resolved through mediation may be referred to binding arbitration under applicable Indian arbitration rules
  • Class action waiver: You agree to resolve disputes individually and not as part of a class action

Nothing in this clause prevents either party from seeking emergency injunctive relief from a competent court.

18. Force Majeure

WaAutoflow shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, or extreme weather events
  • Government actions, sanctions, or regulatory changes
  • Internet or telecommunications failures
  • WhatsApp, Shopify, or third-party platform outages or policy changes
  • Pandemic, epidemic, or public health emergency
  • Cyber attacks, hacking, or DDoS attacks on our infrastructure

19. Changes to These Terms

WaAutoflow reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the 'Last Updated' date at the top of this page
  • Provide in-app notification or email notice where feasible
  • Provide at least 30 days' advance notice for material changes affecting your rights

Continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and uninstall the App.

20. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and WaAutoflow regarding the Service
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision
  • Assignment: You may not assign these Terms without our prior written consent. WaAutoflow may assign these Terms in connection with a merger or acquisition
  • No Partnership: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship
  • Language: These Terms are written in English. Any translation is provided for convenience only
  • Notices: Legal notices to WaAutoflow must be sent to hello.waflows@gmail.com with appropriate subject line
